Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
The Board of Directors of Skechers U.S.A., Inc. (the Company) elected Katherine Blair as an additional member of the Board effective as of May 15, 2019. Ms. Blair will serve as a Class III director until the Companys annual meeting of stockholders in 2020. She will serve thereafter until her successor is duly elected and qualified or until her death, resignation or removal.
Ms. Blair has practiced law for over 20 years, specializes in corporate and transactional matters, and is a partner at Manatt, Phelps & Phillips, LLP in Los Angeles. The Board of Directors has determined that she is independent under Section 303A.02 of the NYSE Listed Company Manual, and there are no related party transactions between the Company and her that are reportable under Item 404(a) of Regulation S-K.
Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On May 15, 2019, the Board of Directors of the Company approved an amendment of the Companys bylaws (the Third Amendment), effective as of the same date. The Third Amendment modified certain of the provisions of Article 3 (Board of Directors) of the Companys bylaws to increase the number of seats on the Board of Directors up to eleven members in Section 3.2(A) thereof to accommodate the appointment of additional Board members.
